This Terms of Service (“Agreement”) is a legally binding agreement between you and Fitz Company, LLC (“Company,” “we,” “us,” or “our”). Fitz Company, LLC develops and operates the FitzApps product line, including the software-as-a-service platform known as That’s A Write-Off (“TAWO” or the “Service”). All references to the Service refer exclusively to the TAWO application operated by Fitz Company, LLC.
By creating an account, accessing the Service, or using any part of it, you acknowledge that you have read and agree to be bound by this Agreement and our Privacy Policy.
1. Eligibility and Account Registration
You must be at least 18 years old to use the Service. When you create an account, you agree to provide accurate, current information and to keep your credentials secure. You are responsible for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately. The Company is not responsible for unauthorized access resulting from your failure to protect your login information.
2. Changes to the Terms
We may update or modify this Agreement at any time. When changes are made, the “Last Updated” date will reflect the new version, and the updated terms will be posted at https://www.thatsawriteoff.com/terms-of-service. Continued use of the Service after changes are posted constitutes acceptance of the revised Agreement.
3. Use of the Service
You may use the Service only for lawful purposes and in accordance with this Agreement. You may not interfere with the operation of the Service, attempt to access systems without authorization, reverse engineer any part of the platform, or use the Service to develop competing products. You may not upload malicious code, violate intellectual property rights, or misuse the platform in any manner.
We may suspend or terminate your access if we determine, at our sole discretion, that your use violates this Agreement or harms the integrity or security of the Service.
4. Service Availability and General Conditions
The Service may evolve over time. We may modify, update, or discontinue features or functionality without prior notice. We may also refuse access to the Service at our discretion.
The Service is provided on an “as is” and “as available” basis. We do not represent or warrant that the platform will operate without interruption, be free of errors, or meet your performance expectations. We may use third-party vendors for hosting, authentication, analytics, support, and payment processing. These vendors may experience downtime or errors, and we are not responsible for issues arising from their systems.
5. User Content and Intellectual Property
You retain ownership of the content you upload to the Service (“User Content”). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to store, process, and display it as needed to operate the Service. You are responsible for the accuracy and legality of the content you upload.
The Service, including all software, databases, valuation models, interfaces, design elements, trademarks, and other intellectual property, is owned exclusively by Fitz Company, LLC. You may not reproduce, distribute, modify, or create derivative works from any part of the platform.
6. DMCA and Copyright Complaints
If you believe your copyrighted material has been used on the Service without authorization, you may submit a DMCA notice to tawo@fitzapps.com. We reserve the right to remove allegedly infringing material and to terminate accounts of repeat infringers.
7. Fees, Billing, and Payment Terms
Paid subscriptions are billed in advance and are non-refundable. Prices and plan details may change, and we will provide 30 days’ notice before any modification to the pricing structure. Upgrades take effect immediately and may result in prorated charges. Downgrades may result in loss of access to certain features or data.
Payments are processed by third-party providers such as Stripe. By subscribing to the Service, you agree to comply with their terms and authorize them to charge your chosen payment method. Chargebacks or declined payments may result in account suspension.
8. Cancellation and Termination
You may cancel your subscription at any time through the Billing section of your account dashboard. Cancellation takes effect immediately and stops future billing. We may terminate or restrict your access to the Service if we believe you violated this Agreement or engaged in abusive behavior. We may retain certain data when required for legal or compliance purposes.
9. Tax, Valuation, and Accuracy Disclaimer
The Service provides estimated fair market values for commonly donated goods. These values are derived from generalized data sources and are intended solely as reference points. They are not individualized appraisals and may not reflect the unique condition, quality, or characteristics of your specific item.
We do not guarantee the accuracy, completeness, or suitability of any valuation. You are solely responsible for determining whether an item’s estimated value is appropriate for your tax reporting. If you believe an item differs from those represented in the Service, you must assign your own valuation or consult a qualified tax professional.
By using the Service, you agree that the Company is not liable for tax-related outcomes, IRS determinations, penalties, documentation issues, audit results, or financial losses arising from your reliance on any information provided through the platform.
10. No Tax, Legal, or Financial Advice
TAWO is not a tax preparation service, legal service, or financial advisory tool. All information provided is for informational use only. The Company does not provide professional tax, legal, or financial advice. You should consult a qualified tax professional regarding your specific reporting requirements and deductions.
11. Third-Party Services
The Service integrates with third-party systems for features such as hosting, authentication, data processing, and payments. These third parties operate independently of the Company, and we are not responsible for their behavior, reliability, compliance, or outages. Your use of the Service constitutes acceptance of these third-party terms where applicable.
12. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, revenue, goodwill, or business opportunities. We are not responsible for tax penalties, audit outcomes, valuation inaccuracies, or reliance on any information presented within the Service.
Our total liability for any claim arising out of or related to this Agreement will not exceed the amount paid by you for the Service in the twelve (12) months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Fitz Company, LLC from any claims, losses, liabilities, damages, expenses, or legal fees arising from your use of the Service, your violation of this Agreement, your uploaded content, or your tax filings and deductions.
14. Dispute Resolution, Arbitration, and Class Action Waiver
All disputes arising from or relating to this Agreement will be resolved through binding arbitration in Sonoma County, California. You waive the right to participate in class actions, class arbitrations, or representative actions. You also waive the right to a jury trial.
15. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Venue for disputes is exclusively in Sonoma County, California.
16. Entire Agreement
This Agreement constitutes the entire understanding between you and Fitz Company, LLC regarding the Service and supersedes all prior agreements or communications.
17. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
